ITC Ltd, on June 13, 2025, completed the acquisition of Sresta Natural Bioproducts Private Limited (SNBPL) for ₹400 crore, as per the filing. The deal involved the purchase of 1,87,48,858 equity shares, making SNBPL a wholly owned subsidiary of ITC.
2 subsidiaries of SNBPL, Fyve Elements LLC (USA) and Sresta Global FZE (UAE) have also become step-down wholly owned subsidiaries of ITC from the same date.
The transaction was carried out on a cash-free and debt-free basis. ITC paid ₹400 crore as upfront consideration, with an additional payout of up to ₹72.5 crore potentially payable over the next 24 months. The consideration is subject to conditions outlined in the share purchase agreements. The company confirmed that no regulatory approvals were required and the deal does not fall under related party transactions.
Incorporated on March 9, 2004, SNBPL is involved in the manufacturing and sale of organic food products under the brand ‘24 Mantra Organic’. The company operates in India and has a presence in international markets. It has its own distribution setup in the US.
SNBPL works with around 27,500 farmers and manages approximately 1.4 lakh acres of certified organic farmland. These are spread across 71 clusters in 10 Indian states. The company has developed a wide portfolio of organic products and has been active in the organic packaged staples segment.
SNBPL reported a consolidated turnover of ₹306.1 crore in FY 2023-24. In FY 2022-23, the turnover was ₹327.3 crore, and in FY 2021-22, it stood at ₹326.7 crore.

On June 13, 2025, ITC Ltd share price closed at ₹413.95, down 1.67%, and a decline of 11.94% over the past 6 months and 3.99% over the past year.
With the transaction closed, SNBPL and its international subsidiaries are now part of ITC Ltd. The share purchase marks a completed corporate acquisition, and no further regulatory steps remain pending.
