WeWork India Management Ltd. is launching an initial public offering (IPO) through a book-building process, raising ₹3,000 crores entirely via an Offer for Sale (OFS) of 4.63 crore shares.

The subscription window for the WeWork India IPO will open on October 3, 2025, and close on October 7, 2025. The allotment results are expected to be announced on October 8, 2025. The shares are scheduled to be listed on the BSE and NSE with a tentative listing date of October 10, 2025.

The IPO price band is set between ₹615 and ₹648 per share. The minimum application lot size is 23 shares, requiring retail investors to invest at least ₹14,904.

Use of IPO Proceeds

Since WeWork India IPO is an OFS, the company will not receive proceeds from the public offering. All the funds will be taken over by the Selling Shareholder subsequent to the deduction of Offer-related expenses and applicable taxes, which shall be the responsibility of the Selling Shareholders.

1. Regulatory Proceedings: Any adverse outcome in proceedings initiated by the Enforcement Directorate against the Promoter and Chairman, Mr. Jitendra Mohandas Virwani, under the Prevention of Money Laundering Act, 2002, could impact the company.

2. SEBI Show Cause Notice: Potential negative effects arising from the show cause notice issued to the Group Company, Embassy Office Parks Management Services Private Limited, under the Securities and Exchange Board of India Act, 1992.

3. Lenders Exercising Pledged Shares: Risk related to lenders exercising their rights over pledged equity shares held by one of the promoters.

4. Non-Receipt of OFS Proceeds: The company faces risk if it does not receive proceeds from the Offer for Sale portion.

5. Financial Performance: The company has reported net losses, negative restated earnings per share (both basic and diluted), and could experience further net decreases in cash and cash equivalents.
