Upcoming IPO: Fractal Analytics Files DRHP with SEBI for ₹4,900 Crore IPO

Mumbai-based data analytics and artificial intelligence firm Fractal Analytics has filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) on Tuesday, August 12, 2025, to raise approximately ₹4,900 crore through an initial public offering (IPO).

Kotak Mahindra Capital Company Limited, Morgan Stanley India Company Private Limited, Axis Capital Limited, and Goldman Sachs (India) Securities Private Limited are appointed as the book-running lead managers (BRLMs) for the issue.

IPO Structure and Details

The proposed IPO includes a fresh issue of equity shares aggregating up to ₹1,279.3 crore, alongside an Offer for Sale (OFS) of equity shares worth up to ₹3,620.7 crore by existing shareholders.

The OFS breakdown is as follows:

• ₹1,462.6 crore by Quinag Bidco Ltd
• ₹1,999.6 crore by TPG Fett Holdings Pte. Ltd
• ₹29.5 crore by Satya Kumari Remala and Rao Venkateswara Remala
• ₹129 crore by GLM Family Trust

The equity shares will carry a face value of Re 1 each, and the IPO will be conducted via the book-building process, with the allocation as follows:

• 75% reserved for Qualified Institutional Buyers (QIBs)
• 15% for Non-Institutional Investors (NIIs)
• 10% for Retail Individual Investors (RIIs)
• A portion not exceeding 5% of the post-offer equity will be reserved for eligible employees.

Use of IPO Proceeds

The net proceeds from the fresh issue will primarily be deployed towards:

• Investment in its U.S.-based subsidiary, Fractal USA
• Capital expenditure for laptops and office expansion in India
• Funding research and development, sales and marketing initiatives under its platform Fractal Alpha
• Supporting inorganic growth through potential acquisitions and strategic initiatives
• Meeting general corporate requirements
