
Fractal Analytics has filed draft papers for an initial public offering amounting to ₹2,833.9 crore. The offer includes a fresh issue of ₹1,023.5 crore and an offer for sale totalling ₹1,810.4 crore by existing shareholders.
The company confirmed that its promoters will not sell any shares under the offer. The IPO will open for subscription on February 9, 2026, and close on February 11, 2026.
The offer for sale will be led by existing investor Quinag Bidco Ltd, an entity of Apax Partners, which plans to sell shares worth ₹880.9 crore. TPG Fett Holdings Pte. Ltd. and the GLM Family Trust will each offload shares valued at up to ₹450 crore.
Additional selling shareholders, including Satya Kumari Remala and Rao Venkateswara Remala, will sell shares worth ₹29.5 crore. The company stated that these sales will form part of the overall OFS allocation without promoter participation.
Fractal Analytics counts several global investors among its key shareholders. These include Apax Partners, TPG, the GLM Family Trust, OLMO Capital, Gaja Capital and the Whiteoak Group.
The company noted that these investors have supported its growth strategy across enterprise AI services. Their participation in the OFS ensures liquidity while maintaining diversified institutional backing.
Founded in 2000, Fractal Analytics positions itself as India’s first pure‑play enterprise AI company. The firm focuses on AI solutions targeted at long‑term strategic clients across multiple industries.
Approximately 98% of the company’s revenue comes from its core Fractal.ai business segment. The company stated that its operations are centred on high‑value use cases for global enterprises.
Fractal reported a revenue CAGR of 18% between FY23 and FY25. Growth accelerated to 25.9% in FY25, compared with 10.6% in FY24.
The company attributes this rise to increased enterprise adoption of AI‑driven decision support systems. The financial trajectory forms part of its rationale for expanding through public markets.
