On June 30, 2025, VRL Logistics shares surged more than 4% after the company announced about an upcoming board meeting scheduled for July 4, 2025, where it will consider a bonus share issuance for its shareholders.

First-Ever Bonus Issue

According to data from the Bombay Stock Exchange (BSE), this would mark the first-ever bonus issue by the company. This announcement follows VRL Logistics share ₹61 crore share buyback conducted in 2023. The record date for the potential bonus issue has not yet been finalised.

To be eligible for the bonus shares, investors must purchase the stock before the ex-date. Those buying on or after the ex-date will not qualify for the additional shares. As of the March 2025 quarter, the promoters of VRL Logistics hold a 60.24% stake in the company.

Bonus shares are typically issued by companies to capitalize on free reserves, boost paid-up capital, and improve earnings per share (EPS). These shares are offered free of cost to existing shareholders, effectively increasing their shareholding without requiring additional investment.

VRL Logistics Q4FY25 Earnings Highlights

The company posted a year-on-year (YoY) revenue growth of 5.33%, rising from ₹768 crore in Q4FY24 to ₹809 crore in Q4FY25. However, on a quarter-on-quarter (QoQ) basis, revenue declined by 1.93% compared to ₹825 crore reported in the previous quarter.

Net profit, on the other hand, saw a significant YoY surge of 236.36%, climbing from ₹22 crore to ₹74 crore during the same period. Sequentially, net profit rose by 25.42%, up from ₹59 crore in the preceding quarter.
