On 16 May 2025, Vodafone Idea Limited formally announced the acquisition of a 26% equity stake in Sangli Wind Energy Private Limited (SWEPL). This development was disclosed under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The acquisition, made at a consideration of ₹31,20,000, marks a significant step by Vodafone Idea towards enhancing its access to renewable energy through a captive power arrangement.
SWEPL has been structured as a special-purpose vehicle, specifically established for owning and operating a Captive Power Plant under the electricity regulatory framework. With this acquisition, Vodafone Idea Limited now holds 3,12,000 equity shares of ₹10 each, comprising 26% of SWEPL’s paid-up capital.
SWEPL’s authorised share capital is ₹1.2 crore, and its paid-up share capital stands at ₹88.8 lakh. As of the date of acquisition, the company has reported no turnover. The acquisition does not fall under related party transactions, and there is no involvement of the promoter group or related entities. It has been confirmed that the transaction was conducted at arm’s length.
The primary objective behind this investment is to meet regulatory requirements related to captive power plants, as per the Electricity Act, 2003 and the Indian Electricity Rules, 2005. Furthermore, the company aims to procure cost-effective renewable energy to support its operations.
SWEPL was incorporated on 28 August 2024 and is based in India. It is engaged in developing, procuring, installing, commissioning, generating, and maintaining wind power assets. The company is currently in the process of establishing a wind-based Captive Power Plant in Sangli, Maharashtra. Over the past three years, it has not recorded any turnover, as it is still in the development phase.

As of May 19, 2025, at 12:30 PM, Vodafone Idea share price is trading at ₹7.12, a decline of 3.39% from the previous closing price. Over the past month, the stock has declined by 11.77%.
