SEBI Updates Investor Charter for RTAs to Enhance Investor Protection and Financial Inclusion

In a move aimed at bolstering investor protection, financial literacy, and inclusion—especially in light of recent initiatives like the Online Dispute Resolution (ODR) platform and SCORES 2.0—the Securities and Exchange Board of India (SEBI) has updated the Investor Charter for Registrars to an Issue and Share Transfer Agents (RTAs).

What’s New Charter Says?

As per the new directives, all RTAs must:

  • Publish the revised Investor Charter on their official websites.
  • Share it via email with both existing and new investors.
  • Display the charter prominently at all office locations.

In addition, the Registrar Association of India (RAIN) is required to host the updated charter on its website.

The Investor Charter serves as a comprehensive guide outlining the scope of services provided by RTAs, including Know Your Customer (KYC) updates, share transmission, dividend processing, and handling of corporate actions such as Employee Stock Option Plans (ESOPs) and bonus issues. These services come with clearly defined timelines, typically ranging between 15 to 30 days.

To promote transparency and accountability, RTAs must continue to disclose complaint-related statistics on their websites by the 7th of each month, following the format prescribed by SEBI. These requirements are supplementary to any other SEBI-mandated disclosures.

Furthermore, the charter includes a list of Dos and Don'ts for investors when interacting with RTAs, helping them make informed decisions and avoid common pitfalls. These updated provisions take effect immediately. Notably, SEBI had earlier introduced the Investor Charter for RTAs in November 2021.
