PNB Housing Finance Limited has officially announced the convening of its 37th Annual General Meeting (AGM), set to be held on August 21, 2025. The Board of Directors, in a meeting on July 2, 2025, approved several important items, including dividend-related updates, auditor appointments, and a major fund-raising proposal.

The Board has fixed August 01, 2025, Friday, as the record date for determining the members eligible to receive the dividend for the financial year 2024–25, subject to shareholder approval at the AGM.

Appointment and NCD Issuance Proposal

The Board approved the appointment of M/s. Vinod Kothari & Company, Company Secretaries in Practice, for the first term of 5 consecutive years starting from FY 2025–26 to FY 2029–30, subject to shareholder approval at the 37th AGM. The firm, established in 1988, is renowned for its excellence and was recently honoured with the ‘Best PCS Firm’ award by the Institute of Company Secretaries of India in 2024.

Additionally, the Board recommended the issuance of Non-Convertible Debentures (NCDs) aggregating up to ₹10,000 Crore on a private placement basis, in one or more tranches, subject to shareholder approval.

PNB Housing Finance Q4 FY25 Results 

PNB Housing Finance consolidated net profit rose by 25.3% year-on-year (YoY) to ₹550.38 crore, up from ₹439.25 crore in the same period last year. The company’s net interest income (NII) saw a 16.2% YoY increase, reaching ₹734 crore compared to ₹632 crore in Q4 FY24. Interest income also witnessed a 13% growth, rising to ₹1,906 crore from ₹1,693 crore a year ago.

On the asset quality front, PNB Housing Finance reported an improvement, with net non-performing assets (NPA) declining to 1.08% and gross NPA falling to 0.69% during the March quarter.

PNB Housing Finance Share Performance 

As of 3 July 2025, at 01:51 PM, PNB Housing Finance share price is trading at ₹1082.20 per share, reflecting a decline of 0.22% from the previous closing price.
