MOS Utility Limited, on June 11, 2025, held a board meeting where several corporate actions were approved. The decisions include a subdivision of equity shares, issue of bonus shares, changes to authorised capital, and other matters requiring shareholder approval at the upcoming Extraordinary General Meeting.
The board approved a subdivision of the company’s equity shares. Existing equity shares with a face value of ₹10 each will be split into shares with a face value of ₹2 each. This change will increase the total number of shares from 2,49,35,586 to 12,46,77,930 while keeping the total paid-up capital unchanged at ₹24.93 crore.
The authorised share capital will also be revised from ₹50 crore to ₹75 crore. The share split is expected to be completed within two months of shareholder approval.
MOS Utility will also issue bonus shares in the ratio of 1:1. Shareholders holding equity shares as on the record date will receive one additional share for each share held. A total of 12,87,20,205 new equity shares of ₹2 each will be issued. Post issue, the paid-up share capital will increase to ₹51.48 crore, consisting of 25,74,40,410 equity shares.
The bonus shares will be issued from the company’s free reserves and securities premium, which stood at ₹26.54 crore and ₹34.04 crore, respectively, as of March 31, 2025.
The board approved an increase in borrowing powers up to ₹400 crore under Section 180(1)(c) of the Companies Act. It also cleared a preferential allotment of 8,08,455 fully paid equity shares at ₹290 each, not for cash but for the acquisition of shares in subsidiary companies. The appointment of Mr. Paras Vinod Chhadwa as an Independent Director was also regularised.
As of 09:57 AM on June 12, 2025, MOS Utility share price stood at ₹275.50, a 0.29% increase. The stock has seen a 6.29% decline over the past 6 months and a 55.54% rise over the past year.

MOS Utility’s Extraordinary General Meeting (EOGM) is scheduled for July 7, 2025, at 4:00 PM via video conferencing. Shareholders can cast their votes through e-voting between July 4 (9:00 AM) and July 6 (5:00 PM). Key proposals, including the share split, bonus issue, and other corporate actions, will be put to vote during this meeting.
