Mahindra Holidays & Resorts India Ltd. (MHRIL), through its European arm Holiday Club Resorts Oy (HCR), has completed the acquisition of Finnish mutual real estate company Keskinäinen Kiinteistö Oy Salla Star (KKOSS). The transaction, executed on July 3, 2025, strengthens HCR’s operational control over leased property in Finland.

Strategic Expansion through Full Ownership

HCR, a wholly owned subsidiary of Covington S.a.r.l., which in turn is a wholly owned subsidiary of MHR Holdings (Mauritius) Ltd., a direct subsidiary of MHRIL, has acquired 100% of the shareholding in KKOSS. KKOSS owns and manages property located in Block 26 in the village of Märkäjärvi, Salla, Finland. The acquisition involved a cash consideration of ₹2,34,73,220 for all 448 shares of KKOSS.

The deal stems from a previous leasing agreement signed in 2012, where HCR was leasing the premises managed by KKOSS. As part of the agreement, HCR was to acquire full ownership of the shares. With this acquisition, HCR now controls both the operations and the underlying property asset in Salla, thereby integrating ownership with management.

KKOSS Financial Highlights

As per the financials disclosed, KKOSS reported a turnover of ₹5,13,644 and a net worth of ₹2,37,441 for the year ended December 31, 2024. The company, incorporated on November 30, 2011, had reported steady turnover figures for the last 3 financial years. It operates exclusively in Finland and focuses on managing land plots and associated premises.

The acquisition was carried out without requiring any governmental or regulatory approvals. It is not classified as a related party transaction, and none of the promoter or group companies had prior interest in KKOSS aside from the acquisition.
