ICICI Venture Funds Management has approved the transfer of its private equity and real estate fund management businesses to ICICI Prudential Asset Management Company (AMC), as confirmed by ICICI Bank in a regulatory filing on Friday.
This is part of an internal restructuring. ICICI Bank, which owns 100% of ICICI Venture and holds a 51% stake in ICICI Prudential AMC, is consolidating fund management operations within its group companies. This will bring alternative asset classes like private equity under the AMC.
After the transaction is complete, ICICI Venture will continue to offer advisory services and oversee any residual funds that remain under its management. The company will not be dissolved or merged, but will limit its operational role in fund management.
According to ICICI Bank’s statement, the cost of this internal transfer is not expected to have a material impact on ICICI Prudential AMC’s financials. No additional financial disclosures were made about the valuation or terms of the deal.
The transaction is subject to necessary regulatory approvals and the signing of binding agreements. No timeline has been shared for when the process will be completed.
As of March 31, 2025, ICICI Bank directly held a 51% ownership in ICICI Prudential AMC and complete ownership of ICICI Venture. The realignment will not change these shareholding patterns but will shift specific business functions from one entity to another.
As of 9:58 AM, May 12, 2025, ICICI Bank share price is trading at ₹1,435, a 3.32% increase.
ICICI Venture’s private equity and real estate fund units will move to ICICI Prudential AMC as part of a group-level restructuring. ICICI Venture will remain active in an advisory role and continue to manage existing commitments. The transfer is still awaiting regulatory clearance and formal agreements.
