Poonawalla Fincorp Limited, a notable player in the financial services industry, has declared the issuance of non-convertible debentures (NCDs) valued up to ₹750 crore. This announcement was made in compliance with Regulation 30 and 51 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The decision, endorsed by the company’s Finance Committee, underscores its strategic capital-raising initiative through a private placement.
The NCDs, each bearing a face value of ₹1,00,000, will be issued in dematerialised form, aggregating to a total of ₹750 crore. The issue comprises a base amount of ₹250 crore with a green shoe option of an additional ₹500 crore, allowing oversubscription.
According to the exchange filings the company will pay a penalty interest on the Non-Convertible Debentures (NCDs) at a rate of 2% per annum above the prevailing coupon rate for the period of any delay in interest payment / principal amount.
In April, the company approved raising ₹1,875 crore through a private placement of Non-Convertible Debentures (NCDs).
