Bharti Airtel Share Price in Focus as arm Acquires Stake in AMPIN Energy C&I Sixteen for Captive Solar Power Project

Bharti Airtel Limited announced that its subsidiary, Nxtra Data Limited, has entered into an agreement to acquire 51,92,000 equity shares, representing a 35% stake, in AMPIN Energy C&I Sixteen Private Limited.

The acquisition, valued at ₹5.19 crore, is aimed at meeting regulatory norms for captive power consumption under India’s electricity laws.

The transaction was disclosed to the stock exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Purpose of the Acquisition

According to Bharti Airtel’s filing, the acquisition aligns with Nxtra’s goal of securing cost-effective renewable energy for its operations while complying with the Electricity Act, 2003 and the Indian Electricity Rules, 2005.

AMPIN Energy C&I Sixteen Private Limited, the target company, is a special purpose vehicle (SPV) formed to own and operate a 13.2 MW solar power plant located in Dighol-Islamnpur village, Parbhani district, Maharashtra.

The project is expected to become operational by the fourth quarter of FY2025–26 and will supply green power to Nxtra Data through the intrastate electricity network.

AMPIN Energy C&I Sixteen is a subsidiary of AMPIN C&I Private Limited, established on March 18, 2023. The company was formed to develop, construct, and operate renewable energy projects, primarily solar power plants. As the Maharashtra-based project is still under development, the SPV has reported no revenue in the past three years.
