
The Board of Directors of LT Foods Limited, at its meeting held on Thursday, October 30, 2025, approved an additional equity infusion of £5 million in LT Foods U.K. Limited, a step-down subsidiary of the company.
Out of this total amount, £2 million will be contributed directly by LT Foods Limited, while the remaining £3 million will come from LT Foods Americas Inc., its wholly owned subsidiary. The infusion is aimed at supporting business expansion and improving the financial position of the UK arm.
LT Foods U.K. Limited was incorporated on July 17, 2023, under LT Foods Europe Holding Limited, with LT Foods Limited, India, as the ultimate parent company. The subsidiary operates in the speciality rice and rice-based food manufacturing and distribution segment.
Production at the facility commenced in July 2024, and the company recorded a turnover of approximately £22 million in FY 2024–25. As of March 31, 2025, the company’s net worth stood at £5.4 million.
The transaction qualifies as a related-party transaction since LT Foods U.K. Limited is a step-down subsidiary. However, it is being conducted on an arm’s length basis. The equity infusion will be made through cash consideration and is expected to be completed by December 2025. The exact cost of acquisition will be determined at the time of execution.
The primary objective of this equity infusion is to strengthen the financial ratios of LT Foods U.K. Limited and support its growth plans in the speciality rice and rice-based food segments. The investment aligns with LT Foods’ broader strategy of expanding its international presence and leveraging growing demand for premium rice products in global markets.
On October 30, 2025, LT Foods share price (NSE: LTFOODS) opened at ₹423.85 and closed at ₹419.60, down by 0.71%. The stock price touched its day’s low at ₹413.35.
