Waaree Energies, the promoter of Indosolar Ltd, is set to divest a 2.4% stake through an offer-for-sale (OFS) on July 10–11, 2025. The move has sparked interest among investors and market watchers, given the strategic timing and significance of the sale.
Let’s take a closer look at why this stake sale is happening and what it means for the company and its shareholders.
The divestment is being carried out to comply with Rule 19A(5) of the Securities Contracts (Regulation) Rules, 1957, and SEBI’s LODR guidelines. According to Indosolar’s latest shareholding pattern (as of March 31, 2025), promoters held 96.15%, while public shareholding stood at just 3.85%.
This level falls significantly short of the mandated 25% minimum public shareholding, prompting the current move.
Waaree Energies will sell 10 lakh equity shares, representing 2.4% of Indosolar’s total issued and paid-up capital, via the BSE and NSE over 2 trading sessions (July 10 and 11).
Of the total shares offered:
Waaree Energies delivered a strong financial performance in the fourth quarter of FY25, reinforcing its operational resilience and market positioning. The company’s net profit more than doubled year-on-year to ₹648.49 crore, while revenue rose 37.69% YoY to ₹4,140.92 crore.
This growth was driven by improved operational efficiency, strong demand for solar solutions, and effective cost management. The robust quarterly results provide a solid financial backdrop for the promoter’s divestment in Indosolar, underscoring the company’s confidence and stability.
Waaree Energies’ OFS in Indosolar is a clear step toward regulatory compliance, aiming to boost public float and improve governance transparency. With solid financials supporting the move, the transaction is expected to enhance investor confidence while aligning the company with SEBI’s mandated norms.
