Telecom major Bharti Airtel Ltd on Monday announced that its Special Committee of Directors has granted approval to acquire up to an additional 5% stake in Indus Towers Ltd, one of India’s largest passive telecom infrastructure providers.

Board Approval Enables Flexible Stake Acquisition Plan

According to a filing with the stock exchanges, the authorisation allows Airtel to purchase the stake in one or more tranches over time, depending on market conditions, liquidity, and price considerations, and subject to compliance with applicable laws.

“Given Indus Towers’ strategic importance, it is prudent for the parent company, Bharti Airtel, to continuously evaluate opportunities for consolidation while maintaining cash flow requirements for business capital expenditure and dividend payments,” the company said in its statement.

Indus Towers’ Strategic Role and Airtel’s Strong Quarterly Performance

Indus Towers plays a key role in supporting India’s telecom network expansion, providing critical tower infrastructure across the country.

The company added that any stake purchase under this enabling approval, if executed, would depend on prevailing market conditions, including liquidity and pricing factors.

The announcement came shortly after Bharti Airtel reported a 14.2% sequential rise in net profit to ₹6,791 crore for Q2 FY26. Revenue grew 5.4% QoQ to ₹52,145 crore, while EBITDA rose 6.2% to ₹29,561 crore, driven by steady performance in mobile and enterprise segments.
