
Allcargo Logistics Limited has fixed Wednesday, November 12, 2025, as the Record Date for determining the shareholders eligible to receive shares under its Composite Scheme of Arrangement.
The Record Date will decide which shareholders of Allcargo Logistics Limited and Allcargo Gati Limited are entitled to receive shares in the respective resulting entities.
As per the approved scheme, every shareholder of Allcargo Logistics Limited will receive one fully paid-up equity share of ₹2 each of Allcargo Global Limited (formerly known as Allcargo Worldwide Limited) for every one equity share of ₹2 each held in Allcargo Logistics Limited. This move ensures a seamless transition for shareholders following the restructuring process approved by the National Company Law Tribunal (NCLT), Mumbai Bench.
Similarly, shareholders of Allcargo Gati Limited (Transferor Company 3) will be entitled to receive equity shares of Allcargo Logistics Limited in accordance with the exchange ratio defined in Clause 33.1 of the Scheme.
Following the amalgamation, Allcargo Gati Limited stands dissolved without winding up, and trading in its shares will remain suspended before being delisted from BSE and NSE.
For instance, if an investor holds 500 shares of Allcargo Logistics Limited as of the Record Date (November 12, 2025), they will receive 500 shares of Allcargo Global Limited in exchange, maintaining a 1:1 share ratio. Similarly, eligible shareholders of Allcargo Gati Limited will receive shares of Allcargo Logistics Limited based on the merger terms.
On November 10, 2025, Allcargo Logistics share price (NSE: ALLCARGO) opened at ₹34.75 and closed at ₹35.62, down by 1.11%.
