Lence Pte Ltd Gets CCI Approval to Acquire Between 11% and 20% Stake in AWL Agri Business

The Competition Commission of India (CCI) has approved the proposed acquisition of up to 20% shareholding in AWL Agri Business Limited by Lence Pte Ltd, a subsidiary of Singapore-based Wilmar International. The approval was granted on November 11, 2025, allowing the transaction to move forward after months of review.

Transaction Details

Lence Pte Ltd will acquire between 11% and 20% of the paid-up equity share capital of AWL Agri Business from Adani Commodities LLP. The final number of shares to be bought will be decided by Lence. Currently, Lence holds 43.94% in AWL Agri Business and will hold between 54.94% and 63.94% after the completion of this deal.

Agreements and Filings

The acquisition is based on a share purchase agreement (SPA) signed on July 17, 2025, among Adani Commodities LLP, Adani Enterprises Ltd (as confirming party), and Lence Pte Ltd. The SPA outlines conditions for the sale and purchase of 142.96 million to 259.93 million equity shares, depending on the final decision by Lence.

Company Overview

AWL Agri Business Limited, formerly known as Adani Wilmar Limited, operates across edible oils, packaged foods, soaps, cleaners, and industrial essentials. Wilmar International, through its subsidiary Lence, is part of the Wilmar Group.

Financial Performance

For the September 2025 quarter, AWL Agri Business reported a 21% decline in consolidated net profit to ₹244.85 crore, compared to ₹311.02 crore in the same period last year. Total income rose to ₹17,525.61 crore from ₹14,552.04 crore a year earlier, according to company filings.

Conclusion

The CCI approval allows Lence to increase its holding in AWL Agri Business. The detailed order from the Commission will be issued separately, and completion of the deal remains subject to other conditions under the SPA.
